1. Overview
Flipways operates a Fulfilled by Merchant (FBM) e-commerce management model. We provide end-to-end Shopify store development, product sourcing, order fulfillment, and marketing management services for our clients.
These Terms govern all activities, communication, payments, and obligations between Flipways (“we”, “our”, “us”) and the Client (“you”, “your”).
2. Service Scope
By partnering with Flipways, you acknowledge that:
Flipways will manage your Shopify store operations including product listing, pricing, marketing, fulfillment, and performance optimization.
You may provide access to your Shopify store, or Flipways can create one on your behalf.
All operational and marketing decisions are made by Flipways for optimal performance under our managed model.
Flipways is not liable for any technical issues, downtime, or disruptions caused by Shopify, third-party apps, or payment gateways.
3. Client Responsibilities
To ensure seamless operations, clients must:
Provide accurate business information, contact details, and store access credentials (if applicable).
Avoid making changes to products, pricing, or ad campaigns without notifying the Flipways team.
Maintain clear and timely communication with the assigned account manager.
Refrain from sharing sensitive internal data or communication outside Flipways without written consent.
4. Payments & Fees
All service fees, setup charges, and ongoing costs must be paid as agreed upon in the official onboarding or invoice documentation.
Payment terms are typically prepaid or as outlined in your client agreement.
Delayed or incomplete payments may result in service suspension or project termination.
All payments made to Flipways are non-refundable, except in cases of proven service non-delivery.
5. Return on Investment (ROI)
The ROI percentage stated (25–30% average) is based on historical data and is not a guaranteed return.
E-commerce performance can vary depending on market conditions, demand fluctuations, ad costs, and product trends.
Flipways aims to maximize performance and minimize risks through data-driven strategies and operational efficiency.
6. Confidentiality
Both parties agree to maintain confidentiality regarding all business data, store access, financial information, and communication.
Flipways will not disclose or sell any client data to third parties.
Clients may not share proprietary Flipways operational methods or processes with competitors or other entities.
7. Intellectual Property
All designs, store layouts, content, and marketing materials developed by Flipways remain Flipways’ intellectual property until full service payment is received.
Once paid, ownership of store content and creative assets may be transferred to the client, except for proprietary internal systems and templates.
8. Limitation of Liability
Flipways shall not be held responsible for losses caused by:
Shopify platform issues or API changes
Third-party app malfunctions
Global supply chain delays or courier errors
Market downturns, ad policy updates, or product demand drops
Our total liability for any claim shall not exceed the total service fee paid by the client.
9. Service Termination
Flipways reserves the right to suspend or terminate services if:
A client fails to comply with payment terms or communication protocols.
A client misuses or shares operational data without authorization.
Any form of misconduct, defamation, or breach of confidentiality occurs.
Clients may also terminate services by providing a written 7-day notice. In such cases, ongoing operations will be concluded and access credentials revoked.
10. Updates & Modifications
Flipways may update these Terms periodically to reflect business, legal, or technical changes.
The latest version will always be available on our website. Continued use of our services constitutes acceptance of any updates.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of Pakistan.
Any disputes shall be resolved under the exclusive jurisdiction of the courts of Lahore, Pakistan.
